Terms of Service — DataGuard Project Manager

1. Acceptance of Terms

By downloading, installing, or using DataGuard Project Manager ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User") and DataGuard Technology ("we," "us," or "our").

2. Description of Service

DataGuard Project Manager is a professional field photo documentation and project management application designed for contractors, inspectors, and field technicians. The App allows users to:

Create and manage job site projects
Capture and organize field photos
Generate professional inspection reports
Create and send invoices
Sync project data to Google Drive
Capture customer signatures on completion reports

3. Free and Pro Plans

Free Plan

The free version of DataGuard Project Manager includes limited features:

Maximum of 2 active projects
Maximum of 2 photos per project
Watermarked reports and invoices
No Google Drive sync
No import/export functionality
No custom company branding

Pro Plan

The Pro subscription unlocks all features including:

Unlimited projects
Unlimited photos
Watermark-free reports and invoices
Google Drive cloud sync
Import and export functionality
Custom company name and logo
Professional PDF reports

Subscription Pricing

Monthly: $1.99 per month
Annual: $19.99 per year

4. In-App Purchases and Subscriptions

Billing

All subscriptions are processed through Apple's App Store. By purchasing a subscription you agree to Apple's payment terms and conditions.

Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.

Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial subscription periods.

Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next billing period. We will notify you of any price changes in advance.

Restore Purchases

If you reinstall the App or switch devices you can restore your previous purchases by tapping Restore Purchases in the App settings.

5. User Content

Ownership

You retain full ownership of all content you create, upload, or store within the App including photos, project notes, customer information, and reports.

License

By using the App you grant DataGuard Technology a limited, non-exclusive license to store and process your content solely for the purpose of providing the App's services to you.

Responsibility

You are solely responsible for all content you create and store within the App. You agree not to use the App to store or transmit any content that is illegal, harmful, or violates the rights of others.

Data Storage

Your project data is stored locally on your device. If you choose to enable Google Drive sync your data will also be stored in your personal Google Drive account subject to Google's Terms of Service.

6. Google Drive Integration

By connecting your Google Drive account to DataGuard Project Manager you agree to:

Grant the App permission to create and manage files within your Google Drive
Allow the App to upload photos, invoices, and reports to your Google Drive
Google's Terms of Service at google.com/terms
Google's Privacy Policy at policies.google.com/privacy

You may disconnect Google Drive at any time through the App settings. Disconnecting Google Drive does not delete any files already uploaded to your Google Drive.

7. Privacy

Your use of the App is also governed by our Privacy Policy .

By using the App you agree to the collection and use of information as described in our Privacy Policy.

8. Intellectual Property

Our Property

The App, including its design, code, features, and content created by DataGuard Technology, is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the App.

Your Property

You retain all rights to content you create using the App. DataGuard Technology makes no claim to ownership of your project data, photos, reports, or invoices.

9. Acceptable Use

You agree not to use the App to:

Violate any applicable laws or regulations
Infringe on the intellectual property rights of others
Store or transmit malicious code or harmful content
Attempt to gain unauthorized access to any systems
Use the App for any fraudulent or deceptive purpose
Harass, abuse, or harm any person

10. Customer Signatures

The App includes a digital signature feature for completion reports. By using this feature you acknowledge:

You are responsible for ensuring the signatory has the legal authority to sign
Digital signatures captured through the App may or may not be legally binding depending on your jurisdiction
DataGuard Technology is not responsible for any disputes arising from digitally signed documents
You should consult a legal professional regarding the enforceability of digital signatures in your jurisdiction

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DATAGUARD TECHNOLOGY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
UNINTERRUPTED OR ERROR-FREE SERVICE
ACCURACY OR RELIABILITY OF RESULTS

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DATAGUARD TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO:

LOSS OF DATA OR PROFITS
BUSINESS INTERRUPTION
LOSS OF GOODWILL
ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP

IN NO EVENT SHALL DATAGUARD TECHNOLOGY'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless DataGuard Technology and its officers, directors, employees, and agents from any claims, damages, losses, or expenses including reasonable legal fees arising from:

Your use of the App
Your violation of these Terms
Your violation of any third-party rights
Any content you create or store within the App

14. Termination

By You

You may stop using the App at any time by deleting it from your device. Cancelling your Pro subscription through your Apple ID settings will downgrade your account to the free plan at the end of the current billing period.

By Us

We reserve the right to terminate or suspend your access to the App at any time without notice if we believe you have violated these Terms or for any other reason at our sole discretion.

Effect of Termination

Upon termination all licenses granted to you under these Terms will immediately cease. Data stored locally on your device will remain until you delete the App.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by:

Updating the "Last Updated" date at the top of these Terms
Displaying a notice within the App

Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved in the courts of Maricopa County, Arizona.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

18. Entire Agreement

These Terms together with our Privacy Policy constitute the entire agreement between you and DataGuard Technology regarding your use of the App and supersede all prior agreements and understandings.
